Terms of use

1. About these terms

These terms govern the use of ShyMango by creators: people and companies that create and operate SaaS on the platform. By creating an account, you accept these terms and the privacy policy. If you use ShyMango on behalf of a company, you confirm that you can represent it.

ShyMango is operated by FABIO VF VANESSA BERGER TERAPEUTA LTDA, CNPJ 53.535.234/0001-08, registered at Rua Samuel Heusi, 586, Sala 01, Centro, Itajaí – SC, CEP 88301-320, Brazil (“ShyMango”).

2. The service

You describe a SaaS idea, and ShyMango uses artificial intelligence to generate versions of it. Each version has its own brand, site and app, with the same functions and an independent identity, prices and data. The versions compete with each other.

ShyMango hosts and operates the generated SaaS at the automatic address on shymango.com or at a chosen address or purchased domain (section 12). You manage your SaaS on the platform.

Parts of the service are still in a test environment. While payments are in Stripe’s test mode, no real charge or payout is made. The platform says when something is a preview.

3. Your account

• You must have the legal capacity to enter into contracts under the law of your country.
• Give accurate details and keep your email up to date: notices about charges, domains and payouts go to it.
• You are responsible for access to your account and for what is done in it. Protect your password and tell us at [email protected] if you suspect misuse.
• Do not create accounts to get around plan limits.

4. Plans and usage

• Free: 1 project with up to 2 versions, a basic AI model and an automatic address on shymango.com.
• Premium: US$99 per month. Up to 4 versions per creation and more projects, a choice of the available AI models, a chosen subdomain and domain purchases. Includes 1,000 credits per paid cycle, shared across your SaaS. Included credits do not carry over to the next cycle and cannot be withdrawn.

AI cost consumes the credit with a 20% markup over the supplier’s price. Usage beyond what is included only happens if you accept an overage cap, of up to US$1,000 per cycle. Without that acceptance, the cap is zero and costly operations stop when the credit runs out. Each extra credit costs US$0.099. Overage is charged on its own invoice. 5. Your role and ShyMango’s

Towards the customers of your SaaS, you are the seller: you set the offer and the prices, serve the customers and are responsible for what you offer. It is up to you to:

• give your customers terms of use and a privacy policy of your own for your SaaS;
• comply with the laws that apply to your business, including consumer, data protection and advertising laws;
• assess and pay the taxes due on your sales and on the amounts you receive;
• make sure the content and use of your SaaS are lawful.

ShyMango is the platform: it generates, hosts and operates the SaaS, processes your customers’ charges on the platform’s Stripe account and pays out your share. ShyMango owns the platform, the generated code, the infrastructure and the domains bought by ShyMango. The app cannot be exported to external hosting.

6. Content and ownership

You remain the owner of the content you submit: ideas, copy, images and attachments. You grant ShyMango a non-exclusive, worldwide, royalty-free license to use that content as needed to provide the service, including sending it to AI providers, hosting it and showing it in your SaaS. You confirm that you hold the rights needed for what you submit.

7. AI-generated content

Brands, copy, code and interfaces are generated by AI models and may contain errors, inaccuracies or similarities to third-party material. Review what was generated before you publish or sell. Generated names and brands may already belong to someone else: check before registering them or using them commercially.

ShyMango does not guarantee any commercial result, number of customers or revenue.

8. Sales and revenue share

Every SaaS sells subscriptions to its customers, and the charges are made on ShyMango’s Stripe account. The share is calculated on the net amount of each receipt, after Stripe’s fees:

• Free: 50% for you and 50% for ShyMango.
• Premium: 99% for you and 1% for ShyMango.

The rule and the calculation basis are fixed at each checkout; earlier receipts keep the rule they had. The Free percentage may change for new creations, with prior notice. Refunds and disputes adjust the share of the corresponding receipt. Usage already covered by the credit or by paid overage is not deducted again from your share. Revenue share is not profit.

9. Payouts

Payouts are made through Stripe Connect to a Stripe account in your name, which you create and verify on the platform. Stripe may ask for identity and bank details, and that account is governed by Stripe’s terms.

• Once a day, for each SaaS and currency with a ready payout account, we automatically transfer your available share.
• Available means your share of receipts that Stripe has already released and that are at least 7 days old (the refund window), less costs, deficits, earlier payouts and the reserve.
• Dispute reserve: 10% of your share from the last 90 days is held and released automatically afterwards.
• Minimum per payout: US$5 or R$25. Below that, the amount accumulates.
• A pending refund, an open dispute or out-of-date cash data suspends that SaaS’s payouts until it is resolved.
• From your Stripe balance to your bank, Stripe’s own automatic schedule applies.

Countries

Payouts through Stripe Connect are available to creators in the United States, Canada, the United Kingdom, the European Economic Area and Switzerland. In other countries, Brazil included, payouts depend on Stripe Global Payouts and only happen once it is enabled for ShyMango. Until then, the payout screen shows the situation. We do not guarantee payouts in every country.

10. Negative balances and debts

• If refunds, disputes or costs exceed your share, the deficit stays in the same SaaS and currency and is offset by the following revenue before any payout.
• A refund or a lost dispute after a payout becomes a deficit and is offset the same way.
• Account debts, such as unpaid overage or a remainder under US$1 when Premium ends, must be paid before Premium is reactivated or new costly operations run.

11. Failed payments

Premium subscription

If a charge fails, Stripe retries it automatically, and you keep Premium for a 7-day grace period counted from the start of the unpaid month. Without payment by then, Premium ends and the account returns to Free, with Free's rules from then on. Your SaaS and your customers' subscriptions stay live.

Overage invoice

It can be paid inside the platform, through the Stripe invoice link. Four effective declines of the same invoice make the account delinquent: Premium ends, costly operations stop, your SaaS and your customers' subscriptions stay live, and ShyMango keeps 100% of future revenue until the invoice is paid and a new month is confirmed. Amounts already worked out in your favour do not change.

Your customers’ subscriptions

If a customer’s charge fails, they keep access for a 3-day grace period while Stripe retries, and you are notified. After that, the customer’s access is locked until they pay.

12. Addresses and domains

• Every SaaS gets an automatic address on shymango.com, made of random words.
• On Premium, you can choose the subdomain on shymango.com. It is kept for 30 days after Premium ends; then it is released and the site continues at the automatic address.
• Domains bought through ShyMango are registered in ShyMango’s name. The registrar’s price and conditions are shown before purchase.
• There is no automatic renewal. We send notices 30, 7 and 1 day before expiry, and you renew by paying the registrar’s price at that time. Without renewal, the domain expires and the site returns to the automatic address.

13. Acceptable use

You may not use ShyMango, or the generated SaaS, for:

• illegal activities, fraud, scams or money laundering;
• selling products or services prohibited by law or by Stripe’s rules;
• malware, phishing, spam or attacks on systems;
• infringing the rights of others, including intellectual property, image and privacy rights;
• content that exploits or endangers children, incites violence or hatred, or causes harm;
• collecting personal data without a legal basis or without informing the people concerned;
• getting around the platform’s limits, charges or security measures, or overloading it on purpose.

14. Availability, suspension and termination

We work to keep the service available, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance and change features.

We may suspend a SaaS or the account, fully or partly, in case of a breach of these terms, a risk to third parties or to the platform, an order from an authority or a well-founded suspicion of fraud. Whenever possible, we tell you beforehand and explain why. Payouts linked to the case may be held while it is investigated.

You can close your account at shymango.com/delete-account. Deletion happens 14 days after the request, and you can cancel within that period. It is blocked while there is an active Premium plan, customers with an active subscription, open invoices, a deficit, a debt, an open refund or dispute, or a payout in progress. SaaS with paying customers are not deleted without notice and without a solution for the subscribers.

15. Liability

The service is provided as is. To the extent permitted by law, ShyMango is not liable for lost profits, lost revenue or data, or indirect damages, and ShyMango’s total liability is limited to the amount you paid ShyMango in the 12 months before the event.

You are responsible for third-party claims, including from your customers, caused by your content, your SaaS or a breach of these terms.

Nothing in these terms limits rights that the law does not allow to be limited.

16. Changes to these terms

We may update these terms. Relevant changes are announced on the platform or by email reasonably in advance, before they take effect. If you do not agree, you can close your account before they take effect. The date and the version are at the top of the page.

17. Governing law and contact

These terms are governed by the laws of Brazil. The courts of the district of Itajaí (Santa Catarina, Brazil) have jurisdiction, without prejudice to a consumer’s right to go to the courts of their own domicile where the law guarantees it.
